Winnie Awino’s practice covers corporate and commercial law (including M&A), projects and infrastructure and banking and financial law. She acts for corporate and infrastructure entities on legal, regulatory and transactional matters, and also advises local and financial institutions on a variety of lending mandates.
Experience has included advising:
- MTN Group and MTN Uganda for the structural separation and reorganisation of MTN Uganda’s mobile money and fintech subsidiary, MTN MoMo.
- Standard Bank and Stanbic Bank for a structured, asset-backed warehousing facility to a micro-lender and mobile financial services platform provider.
- Access Bank PLC Nigeria for its proposed 80% acquisition of a local commercial bank.
- Two multinational private equity funds for the acquisition of a minority stake in a local commercial bank.
- An export credit agency for a sovereign export credit guarantee facility.
- MTN Uganda for its USD150 million initial public offer - the first telecommunications sector public offer in Uganda; the largest ever public offer in the history of the Ugandan capital markets; the first public offer to utilise digital channels (including mobile money) and the largest public offer in Africa in 2021.
- NCBA Group for the horizontal merger of NC Bank and Commercial Bank of Africa (by way of a transfer of business from Commercial Bank of Africa to NC Bank), and the de-licensing and corporate restructuring of Commercial Bank of Africa.
