Winnie Awino’s practice covers corporate and commercial law including mergers and acquisitions (M&A), projects and infrastructure and banking and financial law.

She acts for corporate and infrastructure entities on legal, regulatory and transactional matters, and also advises local and financial institutions on a variety of lending mandates.

In highlight matters, Winnie acted for the acquirer for the horizontal merger of two commercial banks, for a global renewable energy company on the establishment of the first-ever solar power plant in Uganda, including acting as borrower’s counsel for project financing from FMO, and for the Trade and Development Bank for a landmark USD20 million murabaha financing (Islamic finance) facility to a leading downstream petroleum company.

Experience has included advising:

  • The acquiring bank, in relation to the horizontal merger of two Central Bank-supervised commercial banks
  • Savannah Commodities and Grainpulse Limited, two indigenous agro-commodity companies, in relation to a business reorganization and subsequent equity investment by K+S AG, a German chemical company listed on the Frankfurt Stock Exchange
  • National Social Security Fund (as the private counterparty), for the development of a USD222 million government campus on a public-private partnership basis (build, own and transfer) with the Ugandan government
  • Access Power MEA, on the set up of a 10 MW solar power plant in Uganda, including acting as borrower’s counsel for project financing by the Dutch development bank FMO
  • Trade and Development Bank, for a landmark USD20 million murabaha financing (Islamic finance) facility to a leading downstream petroleum company
