Jérôme is an Associate-Barrister in the Corporate team where he covers all aspects of corporate & commercial law, including transactions, banking, financial services and employment. He advises and assists local and international clients on all aspects of corporate legal matters and is actively involved in the drafting of legal documentation and opinions.

Jérôme previously worked in the UK and internationally for 16 years in commercial client-facing roles in sectors spanning investment banking, media, management consulting, professional services and technology. He advised C-level executives and senior leaders on their corporate challenges, in areas such as finance, internal audit, people development, operations and transformation.

He has been exposed to multiple client sector dynamics, including retail, automotive, energy, transport, insurance, manufacturing, technology and pharmaceutical and is familiar with British and French business environments.

 Jérôme brings to his legal practice a commercial mindset, business and financial acumen and an eye for customer and business outcomes in a multinational context. He thrives on solving novel legal challenges through innovative solutions.

Jérôme also has a keen interest in environmental law.

 

Experience has included advising:

  • As a team member, a local conglomerate and its subsidiary on the latter’s licensing obligations vis-à-vis the Financial Services Commission in relation to its foreign currency trading activities;
  • As a team member, a local waste management company regarding operation and financing of a concession of national significance;
  • As a team member, a local group of companies, in connection with certain affiliates’ eligibility under Mauritian law towards ‘sophisticated investor’ status to satisfy foreign law requirements in a cross-border transaction;
  • As a member of the due diligence team, an international banking client on the prospective acquisition of a Mauritian leasing company, and a local conglomerate on the acquisition of a network of fuel service stations;
  • As a team member, a local insurance major on potential claims against it by the administrator of a group of liquidated companies, as well as the insurer’s potential recourse against the companies’ former auditors;
  • As a team member, an urban terminal operator on legal aspects for various operational matters;
  • As a team member, the former CEO of a local bank on various corporate, governance and employment aspects of his relationship with his former employer, including management and sale of his shareholding;
  • As a team member, a local conglomerate on the drafting and vetting of share sale and purchase agreements among its affiliates in the context of a corporate restructuring.
