John Mwangi advises on the full range of corporate matters including carrying out due diligence, transaction structuring, drafting of transaction agreements, issuing legal opinions, advising on regulatory matters, which also involves seeking regulatory approvals for transactions and engaging regulators, incorporation and registration of various types of business organizations. John also advises on competition matters such as, obtaining merger approvals or exclusions for transactions.

As part of the Corporate team, John advises clients from a wide range of sectors, such as banks, development finance institutions, private equity and venture capital firms, and manufacturing and retail entities.

Experience has included advising:

  • As a team member, the International Finance Corporation (IFC) in its equity investment in Britam Holdings Plc, a diversified financial services company listed on the Nairobi Securities Exchange (NSE)
  • As a team member, ShoreCap II Limited, a private equity fund managed by Equator Capital Partners, and Progression Eastern African Microfinance Equity Fund in their investment in Jamii Bora Bank Limited
  • As a team member, LafargeHolcim in conducting legal due diligence on a Kenyan target listed on the NSE in relation to a proposed acquisition
  • As a team member, Cummins in a joint venture transaction with Car & General (Kenya) Limited
  • As a team member, a leading investment firm in its investment in a Kenyan safari airline
  • As a team member, Auto Sueco Kenya Limited, a member of NORS Group, in the sale of its business assets to NECST motors
  • As a team member, several local and multinational entities in obtaining merger clearances in Kenya
