Ngina Mbwele is an Associate in the Corporate Practice Group.

As part of the Corporate team, she advises on Mergers & Acquisitions, Capital Markets, Private Equity, and Competition Law.

Ngina has been involved in a number of local, regional and international corporate transactions whose workstreams include legal due diligence, drafting, reviewing and negotiation of transaction agreements, issuing legal opinions, regulatory compliance and corporate governance.

Experience has included advising:

  • a note trustee on the re-opening and upsizing of medium term note programme
  • a publicly listed company on the Nairobi Securities Exchange on a rights issue
  • Valley Hospital and its majority shareholders in an equity investment by Ascent Rift Valley Fund.
  • an impact investment organisation in relation to the restructuring of the debt and equity capital of a real estate development company.
  • a private company which operates learning institutions in Kenya on a business and asset sale transaction.
  • various multinational companies on share purchase, share subscription and joint venture transactions.
