We have advised international oil companies, government, sponsors and lenders on a broad range of matters including acquisitions and disposals, farm-ins and farm-outs, joint ventures and JOAs, financings, sale and supply arrangements, storage, trading, transportation, fracking and LNG, among others.

Experience has included advising:

  • A syndicate of lenders including foreign banks in relation to financing of a Ghanaian incorporated borrower’s interest in the development of certain oil and gas fields in Ghana.
  • A bulk petroleum products storage and distribution company in the review and negotiation of contracts for the front-end engineering design of a 750 km buried national gas transmission utility pipeline build-out.
  • A syndicate of lenders a multinational oil and gas company in relation to the USD750 million financing of the development of the Jubilee Fields.
  • The lenders, a public private partnership, involving the construction of a moorings system (including a pipeline) for the offloading and discharge of crude oil and petroleum products offshore Tema.
  • A leading multinational tank storage company in relation to its investments in a local company by way of joint venture to develop, construct and operate an independent bulk liquid storage terminal and the provision of shareholders loans amounting to USD20 million.
  • A multinational trading company in its financing of a local petroleum company.
  • The sponsors in relation to a project involving a partnership between a state-owned company and a privately owned foreign entity for the operation, maintenance and expansion of petroleum storage and transportation facilities located in a port city in Ghana.
  • An LNG supply developer in relation to a project for the construction of infrastructure required to receive, store and re-gasify liquefied natural gas and to deliver natural gas to power plants and industrial concerns in Ghana
  • A major oil and gas on the enforcement of charges created in its favor over crude oil storage tanks used to secure debts owed to it for totaling about USD39 million.
  • A bulk petroleum products distribution company owned by the government of Ghana and its South African joint venture partner in relation to the USD2 million financing of the joint  venture petroleum import, export and storage terminal project in Ghana as well as negotiating and reviewing a shareholders’ agreement for a USD6 million investment by way of a joint venture for the development phase of the project.
