Transactional Tax Planning

In multijurisdictional transactions, it is critical to ensure that the requirements of local laws are understood and complied with, especially in matters of tax. Our transactional tax lawyers are committed to advancing transactions to meet the objectives of our clients.

We often collaborate with our clients’ internal tax and accounting departments, as well as outside accounting firms, to design the most advantageous structure yielding optimal after-tax results, lowering effective tax rates or otherwise achieving our clients’ commercial and tax-specific goals.

Experience has included advising:

  • A global top-10 leading oil company in tax aspects related to a farm in a transaction for its entry into a large oil and gas project.
  • The sellers (non-resident taxpayers) before the tax authority in an application for a binding opinion on the tax treatment of a transaction, calculation of tax due and will proceed with the payment of the tax resulting from capital gains obtained by the direct transfer of shares and rights in the Mozambican company, for a value of USD2 billion.
  • A recruitment company on the best tax structure for its investment in Mozambique.
  • A Spanish construction company on domestic tax planning to enable more efficient compliance with tax obligations for its recently incorporated Mozambique subsidiary.
  • Companies in the mining, oil and gas sectors regarding tax structure and tax-efficient planning for investing in Mozambique.
  • A client in negotiations with the Mozambican government regarding the tax aspects for a liquefied natural gas (LNG) project to be carried out in the north region of the country.
  • An oil and gas company in discussions with tax authorities regarding capital gains tax in connection with a farm-in as part of an EPCC.
