Prince is a seasoned corporate lawyer with a strong focus on private equity, capital markets, mergers and acquisitions, banking and finance. He advises local and international investors on complex corporate and transactional matters, including leading and supporting legal due diligence exercises, structuring transactions, negotiating and documenting transaction agreements, and navigating Nigeria’s regulatory landscape to achieve efficient investment outcomes.

He has substantial experience engaging with key regulators and regulatory agencies in Nigeria and regularly advises on regulatory approvals, licensing, compliance obligations, and post-transaction filings in connection with investments, acquisitions, and financing transactions.

Prince has provided strategic legal counsel to a diverse range of high-profile clients, including private equity funds operating across Africa, traditional and digital banks, payment service providers, switching companies, and institutional investors.

Experience has included advising:

  • Bluecore Gas InfraCo Limited on the acquisition of Axxela Limited, Nigeria’s leading private sector – led natural gas distribution company, involving a USD 285 million acquisition financing arranged and underwritten by Rand Merchant Bank. 
  • Nampak, a South African packaging group, on the sale of its subsidiary – Bevcan Nigeria – to Singapore-based Alucan Investment.
  • Alitheia IDF Fund – a Mauritius based private equity fund – on its USD 4.5 million equity investment into Seamfix Limited, a Nigerian digital identification and verification software company, for the expansion of Seamfix Limited’s operations into other African countries.
  • An asset management company on the registration of its NGN 50 billion private equity fund with the Securities and Exchange Commission.
  • Levene Energy Development Limited on securing a USD 64 million acquisition finance facility from African Export-Import Bank, supporting its equity commitment to BlueCore Gas InfraCo Limited in connection with the acquisition of a 30% stake in Axxela Limited.
  • An international construction firm headquartered in Israel on its USD 42 million equity divestment from one of Nigeria’s foremost construction companies.
  • A Nigerian commercial bank (Borrower) on its USD 10 million facility agreement with a public- listed commercial bank based in Luxembourg for the expansion of the microfinance loan portfolio of the Borrower.
  • Aruwa Capital Management on its participation in a USD 3 million Pre-Series A funding round in MDaaS Global for the expansion of MDaaS’s tech-enabled diagnostic clinics.
