Flávio Hemergim Salongue focuses his practice on corporate law, real estate law, projects and IPT, advising a wide range of clients across various sectors, particularly the energy sector.

Flávio assists in the incorporation of companies projects, mergers and acquisitions, and private investments, including intellectual property and data protection.

He provides consulting services in real estate law, including contractual issues, real estate developments, sales and purchases, leasing, and taxation. He teaches at the Higher School of Real Estate Activities (ESAI), providing real estate training for banks and players in the real estate market.

 

Experience has included:

  • Assistance in real estate and corporate due diligence processes, in M&A transactions, in share deal or asset deal models;
  • Assistance to international client in negotiating the concession agreements with the Angolan State for the granting of a mobile telecommunications operator license, and in the incorporation process of the company and commencement of operation;
  • Advising an energy company on the monitoring and implementation of private investment project;
  • Ongoing assistance to a international client in the purchase of a large real estate portfolio, with prior regularization, including the establishment of surface rights and registration;
  • Assisting a real estate company in the purchase and management of a large portfolio of real estate assets;
  • Advice on the incorporation of an Angolan company and ongoing legal assistance to the world's largest e-commerce company;
  • Advice to an Angolan bank in establishing mortgages on real estate as collateral for bank financing;
  • Assistance in a corporate restructuring process with the regularization and transfer of real estate assets;
  • Advising a real estate development company on the purchase, construction, and development of an industrial park, as well as the co-sale and leasing of industrial warehouses;
  • Ongoing assistance to a multinational leader in the spirits sector in Angola, with involvement in corporate, real estate, regulatory, and IPT matters;
  • Advising leading multinational app-based taxi service companies on software licensing and the protection of personal data;
  • Assistance to an international player in the oil and gas sector with the property regularization of petrol stations in Angola.

Personal data protection in Angola is regulated by Law No. 22/11 of 17 June 11, the Personal Data Protection Law (LPDP), which determines the legal rules applicable to the processing of personal data.
